It's always been my impression that anything that fits standard ATX boards will also fit mATX boards... I've never had any trouble in the past fitting mATX boards in ATX cases anyway.

Core 2 Duo supposedly has a slightly higher TDP so assuming everything stays the same, it might be slightly louder - not taking into account the increase in processing power that might prevent the fans from spinning too high as it completes tasks faster.
