430w seasonic should handle that fine. 380w should be good too, probably even 330w.

Memory? that new gskill pi stuff looks interesting, runs 4-4-4-12 timings @ 1.8/1.9v, so if you run it at 5-5-5-15, should be able to get good overclock without much more voltage through memory.

I'd agree - the cheapest dual-core processor/mobo you can find with enough sata ports for your needs, 1gb memory, recycle case. Should be able to grab that for less than 100$; cooler might add a bit more to it.
