Not necessarily. Even in S4 and S5 the PSU still draws power. One of my PCs draws 14W when shut down (S5), it draws the same when in S3.

Any reason you want to use W7 Ultimate over the cheaper W7 versions?

Take a look at mediaportal too if you're set on using Windows. It's also free. Of the three PVR/etc. suites I've tried (MythTV, SageTV, MP) I've had the best luck with MP though it's far from perfect.
