you'll be fine. i have same mobo, same heatsink, in a chilli case. The top of the mobo is practically flush (~1mm) with the bottom panel of the case (upside-down orientation). i'm using a zippy 2U PSU for a comp i stuffed into a superold zenith case. i *think* i 5V'd the 2 60mm fans in it (that or 7v)... it still made quite a bit of noise... loudest component in my system by far.
